1. Acceptance of Terms
By accessing or using the services of JRA Freight Solutions (“Company”, “we”, “us”, or “our”), including our website, transportation, and logistics services, you (“Client”, “you”, or “your”) agree to comply with and be bound by these Terms and Conditions. If you do not agree, please do not use our services.
2. Services
JRA Freight Solutions offers freight transportation, logistics management, and related services within Canada and cross-border. We reserve the right to refuse, suspend, or discontinue services at our discretion.
3. Quotes and Payments
Quotes are valid for 30 days unless otherwise stated. Payment terms are net 30 days from the date of invoice unless agreed otherwise. Late payments may incur interest charges at a rate of 2% per month (24% annually).
4. Liability and Limitations
We are not liable for delays caused by weather, road conditions, regulatory issues, or third-party carriers. Unless otherwise agreed in writing, liability for cargo loss or damage is limited to $2.00 per pound or $100, whichever is less, pursuant to the Carriage of Goods Regulation under the Highway Traffic Act (Ontario) and relevant provisions of the Motor Vehicle Transport Act.
5. Insurance
Clients are responsible for securing adequate cargo insurance unless explicitly stated in the service agreement.
6. Claims
All claims for loss or damage must be submitted in writing within 60 days of delivery. Claims must include proof of value and description of the damage.
7. Compliance with Laws
You agree to comply with all applicable provincial and federal laws, including transportation, environmental, customs, and safety regulations.
8. Termination
We reserve the right to terminate services for breach of these Terms or misuse of services. Outstanding balances remain payable upon termination.
9. Governing Law
These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. All disputes shall be resolved in the courts located in Ontario.
10. Modifications
We may update these Terms periodically. Continued use of our services after such changes constitutes your acceptance of the new Terms.
